Terms of Service

1. Agreement

These Terms of Service ("Terms") apply to your use of uprisehq.org and the Uprise application, together called the "Service," operated by Uprise, Inc. ("the Company") at 1201 Second Avenue, Suite 900, Seattle, WA 98104. Creating an account or accessing the Service means you accept these Terms. If you disagree, do not use the Service.

The Service includes a free Starter tier and paid subscriptions: Advisor at $49/month and Business at $89/month, or equivalent annual rates. Paid plans renew automatically after each billing period. You may cancel through your account settings at any time, with cancellation effective at the period's end and no partial refunds.

2. Use of the Service

• You must be at least 18 and legally authorized to operate the business entity whose financial data you connect to the Service.
• Do not use the Service unlawfully, disrupt its operation, or seek unauthorized access to any system or data.
• You may not scrape, reverse-engineer, or copy the Service unless applicable law expressly permits it.
• Keep your account credentials secure. If you suspect unauthorized access, promptly notify us at [email protected].
• Provide accurate business and financial information. Service estimates depend on the accuracy of the data you provide or connect.

3. Intellectual Property

Uprise, Inc. or its licensors own the Service, including its software, text, graphics, logos, and quarterly estimation models, which are protected by United States and international intellectual-property laws. We give you a limited, non-exclusive, non-transferable, revocable license to access and use the Service only for your internal business financial planning.

4. Your Data and Integration Connections

You keep ownership of business and financial data you provide to or connect through the Service, including data from bookkeeping applications, bank feeds, and payroll providers. Connecting an integration authorizes the Company to access that data on a read-only basis to generate your quarterly action plans and estimates.

You confirm that you may connect the accounts and share data you provide through the Service. You grant the Company a limited license to access, store, process, and analyze that data as needed to provide the Service. This license ends when you revoke access or close your account.

The Company processes your financial data only to generate estimates and guidance. We do not execute financial transactions, file tax returns, or make investments on your behalf.

5. Disclaimers and Not Financial or Tax Advice

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." THE COMPANY IS NOT A LICENSED CPA FIRM, TAX PREPARATION SERVICE, REGISTERED INVESTMENT ADVISER UNDER THE INVESTMENT ADVISERS ACT OF 1940, OR ANY STATE EQUIVALENT. OUTPUT FROM THE SERVICE, INCLUDING QUARTERLY ESTIMATED TAX AMOUNTS, RETIREMENT CONTRIBUTION CALCULATIONS, AND CASH RESERVE ANALYSES, IS AI-GENERATED SOFTWARE OUTPUT AND DOES NOT CONSTITUTE LEGAL, ACCOUNTING, TAX, OR FINANCIAL ADVICE.

YOU BEAR SOLE RESPONSIBILITY FOR VERIFYING ANY AMOUNTS PRODUCED BY THE SERVICE BEFORE FILING, CONTRIBUTING, OR TAKING ANY FINANCIAL ACTION. YOU SHOULD CONSULT A LICENSED CPA, TAX ATTORNEY, OR REGISTERED INVESTMENT ADVISER FOR ADVICE SPECIFIC TO YOUR SITUATION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF ANY FINANCIAL ESTIMATE OR CALCULATION.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPRISE, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR IN CONNECTION WITH YOUR USE OF THE SERVICE, INCLUDING DAMAGES ARISING FROM RELIANCE ON ANY ESTIMATE OR CALCULATION PRODUCED BY THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO THE COMPANY IN THE THREE MONTHS PRECEDING THE CLAIM, OR USD $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages; in those jurisdictions, our liability will be limited to the maximum extent permitted by law.

7. Indemnification

You agree to defend, indemnify, and hold harmless Uprise, Inc. from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any third-party right, including any right relating to data or financial accounts you connect to the Service.

8. Termination

We may suspend or end your Service access at any time, with or without notice, for any reason, including a Terms violation or unpaid subscription. You may close your account through account settings at any time. Provisions that should naturally continue after termination will do so, including Sections 3, 5, 6, 7, 9, and 10.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-law principles.

Informal Resolution. Before filing a claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 60 days.

Arbitration. Any dispute that cannot be resolved informally will be settled by binding arbitration administered in Washington, USA under the rules of the American Arbitration Association ("AAA"). Judgment on the arbitrator's award may be entered in any court of competent jurisdiction. You and Uprise, Inc. each waive the right to a jury trial and the right to participate in a class action.

Exception. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction located in Washington, USA for intellectual-property infringement or unauthorized access to the Service.

10. Changes to These Terms

We may revise these Terms periodically. We will post material changes with a new "Last updated" date. Using the Service after the effective date means you accept the revised Terms.
